1. Introduction

1.1 These Terms cover the Cycle AI website (the “Website”) and the Cycle AI mobile application (the “App”).

1.2 In these Terms, we will sometimes refer to Cycle AI as “Cycle AI,” “the Company,” or “we.” We refer to our Website and App, and any content, tools, features, and functionality made available through them, as the “Services.”

1.3 In these Terms, “you,” “your,” and “user” refer to you when you access or use our Services.

2. Eligibility

2.1 This application released on the Apple App Store can only be downloaded and used by users aged 17 and above according to Apple platform standards, including all functional access rights (such as in-app purchases, social interactions, etc.).

2.2 This application released on the Google Play Store can only be downloaded and used by users aged 16 and above according to the IARC unified rating standards.

2.3 You hereby guarantee that you have reached the age specified by the platform. Cycle AI does not assume any responsibility if the information you provide is untrue because Cycle AI cannot verify the user's age.

2.4 If your age is lower than the above limit, you can only use the Service with the consent of your parent or guardian. In addition, you should review these Terms with your parent or guardian to ensure that you and your parent or guardian understand and agree to these Terms.

2.5 If you use the Service on behalf of a company or other entity, “you” includes you and the entity, and you represent and warrant that you are an authorized representative with authority to bind the entity to these Terms and agree to these Terms on its behalf.

3. AI-Generated Content Disclaimer

By using the content creation or sharing functions, you acknowledge and agree that:

3.1 User-Generated & AI-Generated Content Is User-Controlled. All images, avatars, chat snapshots, and AI-generated outputs are created based on user inputs. Cycle AI does not review, monitor, or endorse any generated or shared content.

3.2 User Is Fully Responsible for Shared Content. You remain solely responsible for ensuring that any content you create, save, or share—whether user-generated or AI-generated—is legal, non-infringing, and appropriate for public distribution.

3.3 No Platform Liability. Cycle AI is not liable for any consequences arising from the creation, saving, distribution, or public sharing of content produced using the platform.

3.4 Logo Does Not Indicate Endorsement. The presence of the Cycle AI watermark or logo on shared images does not imply that Cycle AI created, approved, or supports the content.

3.5 Content Moderation. While Cycle AI may implement automated moderation or safety filters, these systems are not guaranteed and may not detect all inappropriate or harmful content.

3.6 User Assumes All Risks. By generating or sharing images through Cycle AI, you agree to assume all risks related to the accuracy, appropriateness, legality, and distribution of the content they produce.

4. Registration

4.1 To access and use Cycle AI, you need to register. You can register using an Apple ID or Google account.

4.2 You are responsible for keeping your password and account credentials confidential and avoid borrowing, sharing or lending them to others. You are also responsible for any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

4.3 If a user bypasses the age requirement by using false information or logs in with an account without the consent of the guardian, we have the right to suspend or cancel their account directly once verified, and pursue legal liability as appropriate.

4.4 We reserve the right to investigate violations of these terms and shut down services until further action is taken by our partners (such as Apple, Google).

5. Your Responsibilities

5.1 You may use Cycle AI only in accordance with these Terms and any and all agreements under which Cycle AI is provided to you. You agree to comply with all applicable local, state, national, and international laws and regulations. You agree to take full responsibility for all actions and omissions that occur as a result of your use of Cycle AI.

5.2 You agree not to use Cycle AI for any unlawful purpose or in any manner prohibited by these Terms. You agree not to impersonate any person or entity; create deep fakes or political misinformation; copy, distribute, disclose or scrape any part of Cycle AI; use robots or spiders; send spam; compromise system integrity or security; impose an unreasonable load; upload viruses; use the service for commercial solicitation; bypass access controls; or copy or imitate Cycle AI without prior written consent.

5.3 You are solely responsible for all Content that you submit to the Service. You agree not to submit content that infringes intellectual property rights, contains malicious code, creates a privacy or security risk, is unauthorized advertising or spam, is threatening, abusive, harassing, tortious, bullying, excessively violent, defamatory, hate speech, discriminatory, obscene, pornographic, sexually exploitative of a minor, glorifies self-harm, promotes terrorism, criminal activity or illegal drugs, facilitates adverse automated decisions, seeks medical, legal, financial or tax advice, disrupts the Service, misuses another person’s likeness, or is otherwise objectionable or harmful.

5.4 We reserve the right to investigate and take appropriate action against anyone we determine, in our sole discretion, to have violated these provisions. This action may include removing content, suspending or terminating an account, and reporting to law enforcement. 6. Paid Services

6.1 Our Services offer certain paid features that you can purchase through the app.

6.2 Currency conversion settlements, foreign exchange transaction fees and payment channel fees (if any) are based on your agreement with the respective payment provider.

6.3 All in-app purchases are final and non-refundable. Once a transaction is completed, it cannot be reversed or refunded regardless of your change of mind or circumstances. You waive any rights you may have under EU or other local laws to cancel completed purchases or obtain a refund.

6.4 We reserve the right to modify the prices of virtual goods and services at any time without prior notice. However, price changes will not affect any completed purchases.

6.5 You agree that in no event will we be liable for any damages or claims arising from your loss or use of in-app purchases. If we suspend or terminate your account, you will lose any products purchased through the Services.

6.6 In-app purchases are not redeemable for cash or other currency and may only be used within the Services provided by Cycle AI.

7. Intellectual Property

7.1 Content you submit. When you submit Content to the Services, you represent and warrant that you own all right, title and interest in that Content or have obtained all necessary licenses, approvals and authorizations.

7.2 You retain any ownership rights you originally held in that Content. You grant Cycle AI a nonexclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to reproduce, display, perform, distribute, store, modify, exploit, commercialize and otherwise use the Content for purposes related to Cycle AI, including operating, improving and providing the Services.

7.3 Although we have no obligation to do so, we may access, review, screen, edit, modify, and remove your content at any time and for any reason, including if we believe it violates these Terms or applicable law.

7.4 Characters and Generations. When you create an AI character using the Services, then as between you and Cycle AI, you own all rights in that Character and in text, images, audio, or video generated by that Character. You grant Cycle AI a non-exclusive, worldwide, royalty-free, transferable, sublicensable, perpetual, irrevocable license to use that Character and all Generations for any purpose, including facilitating other users to interact with it and promoting the Services.

7.5 Service Content, Software and Trademarks. The Service may contain content or features protected by intellectual property laws. You may not engage in data mining, robots, scraping or similar automated data gathering. Any use not expressly authorized is strictly prohibited.

7.6 Other trademarks used through the Service may belong to their respective owners. Nothing in these Terms grants a license to use Cycle AI trademarks without written permission.

7.7 Third Party Materials. Cycle AI is not responsible for third-party content, including characters and generations. AI-generated chats are inherently unpredictable and may produce inaccurate or offensive generations; you must evaluate and bear all risks.

7.8 We have the right, but not the obligation, to refuse or remove any Content available through the Services.

7.9 Questions, comments, suggestions, ideas, feedback, or other information you provide to Cycle AI are non-confidential and may be used and disseminated for any purpose without acknowledgment or compensation.

8. Copyright Claims

8.1 Cycle AI respects the intellectual property of others. If you believe your work has been copied in a way that constitutes infringement, notify Cycle AI.

8.2 Cycle AI will process and investigate notices of alleged infringement and take appropriate actions under the Digital Millennium Copyright Act and other applicable laws. Send a written notice to [email protected].

8.3 A valid notification must include your signature; a detailed description of the work; a clear guide to where the material is located; your contact details; a good-faith statement; and a statement under penalty of perjury that the information is accurate and you are authorized to act.

8.4 Cycle AI may terminate accounts of repeat infringers and limit access to or terminate accounts of users who violate intellectual property rights.

9. Personal Information

We retain a separate Privacy Policy and your assent to these Terms also signifies that you have read and understand the Privacy Policy. We reserve the right to amend the Privacy Policy by posting amendments to the Service or our website. Continued use following amendments is acknowledgement that you have read and understand it.

10. Third Party Links

10.1 Our platform may link to or incorporate third-party websites, services, or advertisements. We are not responsible for their content, accuracy, functionality, or any resulting damages.

10.2 All interactions with third-party advertisers or services are strictly between you and the respective parties.

11. Disclaimer of Warranties

11.1 You use Cycle AI at your sole risk. We provide Cycle AI on an “as is” and “as available” basis and disclaim all express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

11.2 We do not guarantee that Cycle AI will always be safe, secure or error-free, uninterrupted, timely, secure, or reliable, or that results will be accurate or meet your expectations.

11.3 Any content, information, or material downloaded through Cycle AI is at your own discretion and risk. You are solely responsible for any resulting damage or loss.

12. Limitations of Liability

12.1 We are not responsible for the actions, content, information, or data of third parties, and you release Cycle AI and its affiliates and personnel from claims arising from claims against users or third parties.

12.2 We shall not be liable for direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, goodwill, use, data or other intangibles, resulting from use or inability to use Cycle AI, substitute goods or services, unauthorized disclosure or alteration of data, or user or third-party conduct.

12.3 Some jurisdictions do not allow these exclusions; in such cases, warranties and liabilities are limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Cycle AI and its affiliates from claims, liabilities, losses, or expenses (including legal fees) arising from your use of the service, your content, or any violation of these Terms.

14. Termination of Services

14.1 This Agreement is effective when you commence use of the Services and continues in perpetuity unless terminated. Cycle AI may change, suspend or discontinue the Services at any time. If you fail to comply with these Terms, the Terms terminate automatically. Upon termination, you must immediately cease all use of the Services and Cycle AI intellectual property.

15. Upon termination

Upon termination of this Agreement, you are no longer authorized to use the Services in any manner.

16. Changes to these terms

We reserve the right to modify, amend, or update these terms at any time. Changes will be posted as an updated version on this page and take effect on the date of posting. Continuing to access or use the Services after changes means you agree to the updated terms. If you do not agree, cease use of the app.

17. General Provisions

17.1 If any provision is illegal, invalid, or unenforceable, it will be severed or modified to reflect the original intent and all other provisions remain in force.

17.2 These Terms constitute the entire agreement between the parties and supersede prior oral or written agreements.

17.3 No waiver of any provision is effective unless in writing and signed by an authorized representative of Cycle AI.
